Terms of Service

1. Acceptance of Terms

MyBusiness App (Pty) Ltd (“MyBusiness App”, “we”, “us”) provides its Service (as defined below) to you through its websites located at mybusinessapp.co.za, mypetparlorapp.com, and mybeautysalonapp.co.za (the “Sites”), application programming interfaces (the “APIs”), and any mobile applications (the “Mobile Apps”; together with the Sites and the APIs, the “Applications”), subject to these Terms of Service (“Terms”). By accepting these Terms or by accessing or using the Service or any Application, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company, business, or other legal entity, you represent that you have the authority to bind such entity and its affiliates, in which case “you” or “your” refers to such entity and its affiliates. If you do not have such authority, or do not agree with these Terms, you must not accept these Terms and may not use the Service.

The latest version of these Terms is always available at mybusinessapp.co.za/terms. If any term is not acceptable, please discontinue your access and use of the Service.

2. Description of Service

The “Service” means (a) the Applications, (b) all software, data, reports, text, images, sounds, video, and content made available through any of the foregoing (collectively, the “Content”), and all modifications thereto. The Service includes, but is not limited to, cloud-based appointment scheduling, customer management, invoicing, staff management, analytics, and mobile applications for end customers.

MyBusiness App reserves the right to alter the Service at any time. Certain features may not be available in all countries. We may limit the Service or parts of the Service depending on location. For example, certain integrations like Paystack may be limited to the African region, or we may limit in-app payments to certain currencies.

MyBusiness App occasionally develops and offers limited beta releases for new features or products (for example, MyBeautySalon App). To participate in a beta release, you must explicitly agree to the additional terms for such beta release. These Terms do not necessarily cover a beta release.

The Service is provided “as-is”. The Service may include bugs that impact your ability to use it and/or may impact your business. MyBusiness App is not liable for your use of the Service.

3. General Conditions / Access and Use of the Service

A. License. Subject to your compliance with these Terms and payment of all applicable fees, MyBusiness App grants you a non-exclusive, non-transferable, revocable, limited license to access and use the Service for your internal business purposes only. You may not sublicense, rent, lease, sell, distribute, or otherwise transfer the Service or any part thereof without our prior written consent.

B. Accounts & Subscriptions. To access and use the Service, you must register for an account and purchase a subscription plan that suits your needs. The subscription grants you and your authorised users access to certain features and functionalities as described on the applicable product pricing page. You are responsible for ensuring that your subscription meets your requirements before purchasing it.

C. Intellectual Property. The Service is protected by copyright, trademark, and other laws of South Africa and foreign countries. Except as expressly provided in these Terms, MyBusiness App, its suppliers, and licensors own all right, title, and interest in and to the Service, including all software code, algorithms, designs, graphics, logos, documentation, and associated intellectual property rights. You will not remove, alter, or obscure any proprietary rights notices incorporated in or accompanying the Service.

D. Account Security. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. MyBusiness App reserves the right to access your account for purposes that MyBusiness App deems appropriate, including responding to your requests for technical support.

E. Usage Data. MyBusiness App may collect information about your use of the Service (“Usage Data”). Usage Data may be used for analytics purposes to review, analyse, and optimise the Service.

F. Integration Data. MyBusiness App may collect information from third-party services via integrations you initiate (“Integration Data”). Integration Data may be stored and processed after an integration is disconnected for the purpose of providing the Service. Integration Data is maintained for the duration your account is active.

G. Data Transmission. You understand that the operation of the Service, including account data, may be unencrypted and involve (a) transmissions over various networks; (b) changes to conform to technical requirements of connecting networks or devices; and (c) transmission to our third-party vendors and hosting partners who provide the necessary infrastructure. You bear sole responsibility for adequate security, protection, and backup of your data.

H. Reference Use. MyBusiness App reserves the right to use your name and/or company name as a reference for marketing or promotional purposes. To decline, email support@mybusinessapp.co.za.

I. Service Changes. MyBusiness App reserves the right to modify or discontinue, temporarily or permanently, your account and/or the Service (or any part thereof) with or without notice. MyBusiness App shall not be liable for any such modification, price change, suspension, or discontinuance.

J. Severability. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

4. Payment

We offer a 14-day free trial for new accounts. At the end of the trial period, you may choose to subscribe to a paid plan. If you do not subscribe, your access to premium features will be restricted.

Paid subscriptions are billed on a periodic basis (monthly or annually) in accordance with the selected plan. You authorise MyBusiness App to bill your payment instrument in advance. All fees are non-refundable and exclusive of applicable taxes. You are responsible for all taxes, charges, and reasonable collection expenses.

If you dispute any charges, you must notify MyBusiness App in writing within thirty (30) days of the invoice date. We reserve the right to change pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing. Failure to pay on time may result in termination of your access to the Service.

Payment is processed via third-party payment providers such as Paystack and Payfast. You represent that any payment information you provide is true and that you are authorised to use the payment instrument. Additional pricing details are available on each product's pricing page.

5. Representations and Warranties

You represent and warrant that (i) you have full power and authority to enter into these Terms; (ii) you own all your account data or have obtained all necessary permissions, releases, rights, or licenses; (iii) your activities do not violate or infringe any third party's rights; (iv) you will comply with all applicable local, national, and international laws and regulations, including South African data protection laws; and (v) you are eighteen (18) years of age or older.

6. Termination

These Terms will continue until terminated by either party. MyBusiness App may terminate without cause by giving thirty (30) days' prior written notice. You may terminate at any time by giving thirty (30) days' written notice and paying all outstanding fees.

Either party may terminate immediately upon written notice if: (a) the other party breaches any material term and fails to cure within fifteen (15) days; (b) the other party becomes insolvent or bankrupt; or (c) the other party ceases business.

Upon termination: (i) all licenses granted shall immediately terminate; (ii) each party shall return and make no further use of the other party's property; (iii) MyBusiness App may destroy your account data unless you request delivery within ten (10) days of termination, in which case we will use reasonable endeavours to deliver it within 30 days; and (iv) any accrued rights or liabilities are not affected.

7. Disclaimer of Warranties

The Service, including the Sites and Content, and all server and network components are provided on an “as is” and “as available” basis without any warranties of any kind. MyBusiness App expressly disclaims any and all warranties, whether express or implied, including but not limited to the implied warranties of merchantability, title, fitness for a particular purpose, and non-infringement. You acknowledge that MyBusiness App does not warrant that the Service will be uninterrupted, timely, secure, error-free, or virus-free.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will MyBusiness App be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or in connection with these Terms or the use of the Service, even if advised of the possibility of such damages. In any case, MyBusiness App's total liability shall not exceed the amount of fees paid by you during the twelve (12) months preceding the event giving rise to liability, or R1 000 South African Rands if no fees apply.

9. Indemnification

You agree to indemnify, defend, and hold harmless MyBusiness App and its affiliates, directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Service in violation of these Terms or applicable law; (b) your breach of any representations or warranties; or (c) any third-party claims that your data infringes any rights.

10. Modifications

MyBusiness App may change these Terms with at least 30 days' notice by posting the revised terms on the Service. If you use the Service within 30 days after the notice has been posted, your use constitutes acceptance of the revised terms. If any change is not acceptable, your only remedy is to stop using the Service.

11. Assignment

Neither party may assign or transfer these Terms without prior written consent, except that either party may assign in connection with a merger, acquisition, or sale of substantially all assets. Any attempted assignment in violation of this section is null and void.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of South Africa, without regard to its conflicts of law principles. Any legal action arising out of these Terms shall be brought exclusively in the courts located in Gauteng, South Africa.

13. Arbitration

Any dispute will be submitted to mandatory, final, and binding arbitration in accordance with the Arbitration Act 42 of 1965 of South Africa, before a single arbitrator in Gauteng. Proceedings shall be conducted in English. Costs shall be borne equally unless otherwise determined by the arbitrator. The decision of the arbitrator shall be final and enforceable in any court of competent jurisdiction. The parties agree to keep proceedings confidential.

15. Confidentiality

Definition. “Confidential Information” means any written, machine-reproducible, and/or visual materials, whether labelled as proprietary/confidential or not, and all information orally or visually disclosed which a reasonable person would understand to be confidential. MyBusiness App Confidential Information includes Usage Data, software (source or executable), documentation, pricing, business plans, techniques, methods, and performance test results.

Exclusions. Confidential Information does not include information that: (a) is or becomes publicly known through no fault of the receiving party; (b) was already in the receiving party's possession; (c) is rightfully received from a third party; or (d) is independently developed.

Obligations. During the term and for five (5) years after expiration or termination, you shall not make MyBusiness App's Confidential Information available to any third party or use it for any purpose other than exercising your rights under these Terms. Disclosure may be made as required by governmental agency, provided prior notice is given.

16. Consumer Protection (South Africa)

MyBusiness App adheres to the provisions of Chapter VII of the Electronic Communications and Transactions Act 25 of 2002 (“the ECT Act”).

Cancellation. You may cancel a service agreement within seven (7) days of conclusion, subject to the exclusions and conditions provided for in the ECT Act. Upon cancellation, you shall return any materials in undamaged condition. Refunds, less direct expenses incurred, shall be issued within thirty (30) days.

Disclosures (Section 43 of the ECT Act):

  • Full name and legal status: MyBusiness App (Pty) Ltd, a company wholly owned by FXIT (Pty) Ltd, duly incorporated under the company laws of South Africa.
  • Contact: support@mybusinessapp.co.za
  • Self-regulatory or accreditation body: None.
  • Description of services: Cloud-based business management software for service industries, accessible via web and mobile applications.
  • Pricing: All prices (inclusive of VAT where applicable) are displayed on each product's pricing page.
  • Transaction records: A full record of transactions shall be available for a period of fourteen (14) days from delivery.

17. Product-Specific Terms

In addition to these general Terms, the following product-specific provisions apply:

MyPetParlor App

  • The MyPetParlor App mobile application is available on iOS and Android. Your use of the mobile app is also subject to the applicable app store terms (Apple App Store or Google Play).
  • Location data may be collected with your permission to enable features such as route optimisation for mobile groomers. You may revoke location permissions at any time through your device settings.
  • Integration with third-party services (e.g. Paystack, Payfast) is subject to those providers' own terms.

MyBeautySalon App

  • MyBeautySalon App is currently in Beta. Beta features may be modified, suspended, or discontinued at any time without notice. No SLA guarantees apply during the beta period.
  • Features such as POS, inventory management, and voucher systems are subject to change as the product matures.

MyBillingHub

  • MyBillingHub is currently in Early Access. Early access features may be modified, suspended, or discontinued at any time without notice. No SLA guarantees apply during the early access period.
  • Billing data, including invoices, payment records, and subscriber information, is processed and stored in accordance with PCI DSS requirements. Card details are tokenised by payment processors and never stored on MyBusiness App servers.
  • Integration with third-party accounting services (e.g. Xero, Sage) is subject to those providers' own terms and availability.
  • Multi-entity configuration (separate business entities, tax settings, and payment gateways) is available on Growth and Enterprise plans only.

18. Notice

The Service is conducted electronically and you agree that MyBusiness App may communicate with you electronically for any matters relating to the Service, including product updates, payments, and legal notices. Notice shall be deemed given on the date the electronic communication is sent.
